Terms of Use

These Terms of Use govern your access to and use of PatrickMHAYES.com, the Integrated Assurance Academy, and related content, educational programs, resources, and services provided through these websites and platforms.

The website and Integrated Assurance Academy are operated by Integrated Assurance LLC. References to “we,” “us,” or “our” in these Terms refer to Integrated Assurance LLC and the Integrated Assurance Academy, as applicable.

By accessing the website, creating an Academy account, enrolling in a program, accepting an institutional seat, or otherwise using the Academy, you agree to these Terms of Use and our Privacy Policy. If you do not agree to these Terms, you should not use the Academy or other services requiring acceptance of them.

1.About the Integrated Assurance Academy

The Integrated Assurance Academy provides professional education focused on enterprise IT, cybersecurity, governance, risk, operational alignment, and related subjects.

Academy programs are intended for professional and educational development. Unless expressly stated otherwise, completion of an Academy program does not constitute professional licensure, regulatory certification, academic accreditation, college credit, continuing professional education credit, or authorization to practice in any regulated profession.

Course materials are educational in nature and should not be interpreted as legal, regulatory, insurance, financial, cybersecurity, or other professional advice for a particular organization or circumstance.

2.Eligibility and Accounts

You must provide accurate information when creating an Academy account and keep your account information reasonably current.

Your account is personal to you. You may not share your credentials, allow another person to complete coursework using your account, impersonate another student, or use another person's account.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You should notify us at info@integratedassurance.co if you believe your account has been accessed without authorization.

We may suspend or restrict access when reasonably necessary to protect an account, another user, the Academy, or the security and integrity of the platform.

3.Individual Enrollment

Unless otherwise stated at the time of purchase, individual enrollment in the Integrated Assurance: Enterprise IT, Cybersecurity, and Operational Alignment program is $195 USD as a one-time payment.

Individual enrollment provides 12 months of access beginning on the applicable enrollment or purchase date.

Individual enrollment is not a subscription and does not automatically renew.

Enrollment is for one student and may not be transferred, resold, shared, or assigned to another person without our authorization.

Course availability, release status, and learning activities may vary during the enrollment period as the Academy is maintained and improved.

4.Re-Enrollment

When paid access expires, a student may purchase a new enrollment if re-enrollment is available.

Unless otherwise stated, a new paid enrollment creates a new 12-month access period beginning with the new successful purchase. It does not extend or modify the previous expired enrollment.

Where technically and operationally practical, the Academy may preserve the student's existing learning history, including chapter progress, Knowledge Check attempts, instructor feedback, capstone records, achievements, and previously earned certificates.

Re-enrollment does not ordinarily reset completed coursework.

5.Promotional and Trial Access

We may occasionally provide promotional codes, trial access, complimentary enrollment, or other limited-access arrangements.

Promotional access may have different duration, eligibility, or use restrictions from paid enrollment. Promotional access has no cash value and may not be transferred, sold, or exchanged.

A promotion does not entitle a participant to future promotions or discounts.

Unless expressly stated otherwise, promotional or trial access does not automatically convert into a paid subscription.

6.Institutional Plans

Colleges, universities, businesses, and other organizations may obtain Academy access through an institutional arrangement.

Institutional plans may include student seats, instructor access, cohort administration, and Institution Administrator capabilities. Pricing, seat quantities, instructor allocations, access periods, payment arrangements, and other commercial terms may be established through an order, invoice, proposal, or other written agreement.

Unless a separate agreement states otherwise, institutional student access is assigned to an individual student and may not be shared among multiple users.

Institutional participation does not change the academic content required to complete the applicable Academy program unless specifically stated.

An institution may designate administrators and instructors to manage authorized students and cohorts. Their access is limited by their assigned Academy roles.

If a separate written institutional agreement conflicts with these Terms regarding the institution's commercial arrangement, the applicable written institutional agreement will control that conflict.

7.Payments

Individual Academy payments are processed through Stripe or another payment provider identified during checkout.

We do not directly store complete payment-card information entered through the payment processor.

You agree to provide accurate payment information and authorize the applicable charges shown at checkout.

Taxes, if applicable, may be added as required.

8.Refunds

For individual Academy purchases, a refund may be requested within 7 days of purchase, provided that a substantial portion of the program has not already been completed or consumed.

Refund eligibility may take into account course access and completion activity reasonably necessary to prevent abuse of the refund policy.

Technical problems should be reported promptly so that we have an opportunity to help restore access before a refund is requested solely because of a technical issue.

Approved refunds may result in termination of the access associated with the refunded purchase. Learning records already created may be retained as described in our Privacy Policy and applicable recordkeeping requirements.

Institutional purchases are governed by the applicable institutional proposal, invoice, order, or written agreement.

Nothing in this section limits rights that cannot legally be waived under applicable law.

9.Academy Learning Activities

Academy programs may include instructional materials, Knowledge Checks, written responses, exercises, capstones, instructor feedback, achievement badges, and Certificates of Completion.

Knowledge Checks are intended to reinforce and evaluate understanding of the course material. Unless explicitly stated otherwise, there is no minimum Knowledge Check percentage required for chapter completion.

Certain written responses and capstone activities may require instructor review.

The Academy may preserve previous attempts and learning records rather than replacing them when a student retakes an assessment.

10.Capstone Submissions

Students may be asked to upload documents, presentations, spreadsheets, or other materials as part of Academy capstone activities.

You retain ownership of original work you create and submit. By submitting material to the Academy, you grant us a limited right to store, process, display, and make the submission available to authorized instructors and administrators as necessary to operate the Academy, review your work, provide feedback, maintain your learning record, and administer the program.

You should not include confidential, proprietary, regulated, classified, personally sensitive, or third-party information in a submission unless you have the authority to use and disclose that information for this purpose.

You are responsible for the material you submit.

Submitted files must not contain malicious software, executable code intended to compromise systems, or other harmful content.

11.Academic Integrity

Academy work submitted under your account should represent your own understanding and work except where collaboration or outside assistance is expressly permitted.

You may use legitimate research, reference materials, and tools where appropriate, but you remain responsible for the accuracy, integrity, and originality of the work you submit.

The use of artificial intelligence or other assistance does not transfer responsibility for submitted work to the tool or service used.

You may not have another person complete assessments or capstone work on your behalf.

We may review suspected misuse or academic-integrity concerns and may restrict Academy access when necessary to protect the integrity of the program.

12.Certificates and Achievements

The Academy may issue Part achievement badges and Certificates of Completion when applicable program requirements have been satisfied.

A Certificate of Completion indicates completion of the applicable Academy requirements. It does not represent professional licensure, governmental certification, academic accreditation, a university degree, or a guarantee of professional competency.

Certificates may contain a unique certificate identifier.

Where public certificate verification is available, limited information may be displayed to confirm authenticity, as described in our Privacy Policy.

Certificates may be revoked if they were obtained through fraud, impersonation, material academic misconduct, manipulation of Academy systems, or other circumstances demonstrating that the completion requirements were not legitimately satisfied.

13.Intellectual Property

Unless otherwise indicated, the website, Academy curriculum, instructional content, frameworks, diagrams, videos, text, exercises, Knowledge Checks, assessment questions, graphics, downloadable materials, and other Academy content are owned by or licensed to Integrated Assurance LLC and are protected by applicable intellectual-property laws.

This includes, where applicable, materials relating to Integrated Assurance, the Integrated Assurance Maturity Model (IAMM), and associated methodologies, models, educational materials, and frameworks.

Enrollment provides you with a limited, personal, non-exclusive, non-transferable right to access and use Academy materials for your own educational purposes during the applicable access period.

Enrollment does not transfer ownership of Academy intellectual property.

Unless we provide written authorization, you may not reproduce, republish, distribute, sell, sublicense, upload, publicly display, create a competing course from, systematically extract, or commercially exploit Academy content.

You may not distribute Knowledge Check questions, answer keys, instructor materials, capstone materials, or restricted Academy content to other individuals or publish them online.

Reasonable personal notes derived from your participation in the program are permitted.

Integrated Assurance Intellectual Property

Integrated Assurance® is a trademark owned by Patrick M. Hayes. The Integrated Assurance framework and associated original methodologies, models, maturity structures, diagrams, educational materials, course content, assessments, written works, and graphical representations are proprietary intellectual property owned or controlled by Patrick M. Hayes.

Access to this website or the Integrated Assurance Academy does not transfer ownership of, or grant a license to reproduce, distribute, modify, publish, teach, commercialize, or create derivative works from proprietary Integrated Assurance materials except as expressly permitted in writing.

Nothing in these Terms is intended to restrict legitimate commentary, scholarship, citation, review, or other uses permitted by applicable law.

14.Books and Third-Party Materials

The Academy may refer to books, articles, standards, frameworks, websites, or materials created by third parties.

Third-party materials remain subject to the rights and terms of their respective owners.

Enrollment in the Academy does not grant rights to reproduce third-party copyrighted materials beyond the rights otherwise available to you.

References or links to third-party materials do not necessarily constitute endorsement of every statement, product, service, or position contained in those materials.

15.Acceptable Use

You may not use the website or Academy to interfere with its operation or security, attempt to gain unauthorized access, access another user's information, circumvent enrollment or access controls, obtain restricted answer keys, scrape protected course content, introduce malicious software, or use the platform in violation of applicable law.

You may not attempt to manipulate progress, assessment results, certificates, entitlements, payment records, instructor permissions, or other Academy records.

Automated access, systematic extraction, or bulk reproduction of Academy content is prohibited unless we expressly authorize it.

16.Availability and Changes

We work to maintain reliable access to the website and Academy, but uninterrupted availability cannot be guaranteed.

Temporary interruptions may occur because of maintenance, security events, hosting or service-provider issues, software changes, Internet conditions, or circumstances outside our reasonable control.

We may make reasonable changes to Academy technology, presentation, navigation, exercises, assessments, or instructional materials to maintain, correct, secure, or improve the program.

We will not intentionally use routine changes to deprive a paid student of the fundamental educational access purchased during an active enrollment period.

17.Educational and Professional Disclaimer

The Academy presents educational frameworks, concepts, examples, and professional perspectives.

Organizations differ substantially in their technology, operations, risk, legal obligations, insurance requirements, regulatory environment, resources, and business circumstances.

You are responsible for determining how, whether, and under what professional supervision Academy concepts should be applied to an actual organization.

Academy materials are not a substitute for advice from qualified legal counsel, accountants, insurance professionals, cybersecurity practitioners, regulators, or other professionals familiar with your specific circumstances.

18.No Guarantee of Results

Participation in or completion of an Academy program does not guarantee employment, promotion, compensation, certification, regulatory compliance, insurance coverage, cybersecurity performance, risk reduction, business performance, or any particular professional or organizational outcome.

19.Privacy

Our collection and use of personal information is described in our Privacy Policy.

Academy participation may involve the collection and processing of account information, learning records, assessment activity, capstone submissions, instructor feedback, institutional or cohort relationships, achievements, and certificate information.

Students participating through an institution should understand that authorized institutional administrators and instructors may have access to certain educational and administrative information associated with their participation, as described in the Privacy Policy.

20.Suspension and Termination

We may suspend or terminate access when reasonably necessary because of fraud, chargebacks, unauthorized account sharing, security abuse, academic misconduct, intellectual-property violations, attempts to circumvent Academy controls, unlawful activity, or material violation of these Terms.

Where appropriate, we may investigate and provide an opportunity to resolve an issue before permanent termination.

Termination of access does not transfer or eliminate intellectual-property rights, payment obligations already incurred, or records we are permitted or required to retain.

21.Disclaimers

To the extent permitted by applicable law, the website and Academy are provided on an “as available” basis.

We do not warrant that every feature will always operate without interruption or error, that all educational content will apply to every circumstance, or that participation will produce a particular business, security, academic, or professional result.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

22.Limitation of Liability

To the extent permitted by applicable law, Integrated Assurance LLC and its owners, officers, employees, instructors, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to use of the website or Academy.

To the extent permitted by law, our aggregate liability arising from an individual student's use of the Academy will not exceed the amount that student paid to us for the Academy enrollment giving rise to the claim.

Different limitations may apply to institutional customers under their applicable written agreements.

These limitations do not apply where liability cannot legally be limited or excluded.

23.Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute concerning these Terms will be handled in an appropriate court having jurisdiction, subject to any rights or remedies that cannot legally be restricted.

24.Changes to These Terms

We may update these Terms as the website, Academy, programs, or legal requirements change.

When we make material changes, we will update the “Last Updated” date and may provide additional notice where appropriate.

Changes will apply prospectively unless otherwise required by law.

25.Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

26.Entire Agreement

These Terms, together with the Privacy Policy and any applicable enrollment terms, order, invoice, institutional agreement, or other written agreement, constitute the applicable agreement concerning use of the website and Academy.

Where a separately executed written agreement expressly conflicts with these Terms, the separately executed agreement controls to the extent of that conflict.
